Minimum Advertised Price Policy

What is MAP?

4040 LLC has adopted this Minimum Advertised Price ("MAP") Policy to protect the premium positioning of the NOX Sport brand, preserve fair competition among authorized retailers, and maintain consistent market presentation of NOX products in the United States.

This policy applies to all authorized retailers, clubs, pro shops, facilities, and partners who purchase NOX products from 4040 LLC.

MAP establishes the minimum price at which NOX products may be advertised through any public channel. MAP does not set the final resale price of a product. Authorized retailers remain free to sell products at any price they choose at the point of sale; however, the advertised price may not fall below the established MAP.

Where MAP Applies

MAP applies to all publicly communicated pricing, including but not limited to:

• E-commerce websites — product pages, category pages, search results, banners, or pop-ups
• Online marketplaces — Amazon, eBay, Google Shopping, Facebook Marketplace, or similar
• Social media — posts, stories, reels, paid advertisements, or influencer content
• Email marketing — newsletters, automated campaigns
• Digital advertising — Google Ads, Meta Ads, display networks, sponsored content
• Print materials — catalogs, flyers, signage
• Video content or live streams where price is stated or displayed
• Any other medium where a price is communicated prior to purchase

Prohibited Practices

The MAP Policy also applies to any mechanism that effectively communicates a price below MAP prior to final checkout:

• Coupon or promotional codes
• Automated cart discounts
• "Price with coupon" messaging
• Pre-checkout cart previews displaying a sub-MAP price
• Strike-through or crossed-out pricing below MAP
• Bundle offers where the implied per-unit price falls below MAP
• Loyalty, membership, or reward discounts that reveal sub-MAP pricing before checkout
• "Call for price" or similar methods used to communicate sub-MAP pricing
• Price-matching policies that imply pricing below MAP

Monitoring & Enforcement

4040 LLC monitors advertised pricing across online and offline channels on an ongoing basis. Authorized retailers are responsible for ensuring that all employees, contractors, marketing partners, and third parties acting on their behalf comply with this policy.

A violation occurs when an authorized retailer advertises, displays, or communicates a price below MAP through any public channel or mechanism prior to final checkout.

If a violation is identified, 4040 LLC may take enforcement action at its sole discretion:

4040 LLC reserves the right to accelerate enforcement actions in cases of repeated violations, willful non-compliance, failure to respond to notices, or conduct that materially damages the NOX brand.

This policy applies only to authorized retailers purchasing directly from 4040 LLC. Unauthorized resale of NOX products, including marketplace sellers operating without authorization, may be subject to separate enforcement actions including marketplace reporting or legal remedies.
